1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Aurex Commerce, LLC ("Aurex," "we," "us," or "our"), a limited liability company organized under the laws of the State of Delaware. By accessing or using the Aurex platform and related services (collectively, the "Service"), you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Aurex provides a back office operations management platform for precious metals and coin dealers, including inventory management, sales order processing, purchase order management, customer management, and exposure reporting tools. The Service is provided on a subscription basis.

3. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You must notify us immediately at support@tryaurex.com of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

• Access to the Service requires a paid subscription. Fees are billed monthly in advance at the rate displayed at the time of purchase.
• All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
• We reserve the right to change pricing with at least 30 days' prior written notice. Continued use after a price change constitutes acceptance of the new pricing.
• Failure to pay may result in suspension or termination of your access to the Service.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malware, viruses, or other harmful code.
• Resell, sublicense, or provide access to the Service to unauthorized third parties.

6. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Aurex Commerce, LLC and protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant Aurex a limited license to process Your Data solely to provide and improve the Service.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. You are responsible for ensuring that your use of the Service complies with all applicable data protection laws, including with respect to any personal data of your customers that you enter into the Service.

8. Third-Party Services

The Service relies on third-party providers to deliver core functionality. By using the Service, you acknowledge and agree to be bound by the terms and policies of the following third-party providers:

• Clerk (authentication and identity): User accounts, sign-in, and session management are provided by Clerk, Inc. Your use of the Service constitutes acceptance of the Clerk Standard Terms and Conditions.
• Stripe (payment processing): Subscription billing and payment processing are provided by Stripe, Inc. Your use of the Service constitutes acceptance of the Stripe Connected Account Agreement and the Stripe Services Agreement.

Aurex is not responsible for and disclaims all liability arising from these third-party providers' acts, omissions, outages, or failures. Your sole recourse for issues related to third-party services is with the applicable provider.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AUREX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AUREX DOES NOT PROVIDE FINANCIAL, INVESTMENT, OR TRADING ADVICE. ANY EXPOSURE REPORTING, BUY/SELL SIGNALS, OR RECOMMENDATIONS PROVIDED THROUGH THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS THE BASIS FOR ANY FINANCIAL DECISION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUREX, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

AUREX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO AUREX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Aurex Commerce, LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

12. Termination

• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate your access to the Service at any time for cause, including breach of these Terms, with or without notice.
• Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be deleted.
• Sections 6, 8, 9, 10, 11, 13, and 14 survive termination of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

14. General

• Entire Agreement: These Terms, together with the Privacy Policy and the third-party terms referenced in Section 8, constitute the entire agreement between you and Aurex regarding the Service.
• Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
• Modifications: We may update these Terms from time to time. We will notify you of material changes with at least 30 days' notice. Continued use after changes constitutes acceptance.
